AppreoDesk Terms of Service

These Terms of Service ("Terms") are an agreement between AppreoDesk LLC, a Florida limited liability company ("AppreoDesk," "we," "us"), and the company or individual that has registered to use the AppreoDesk software ("Customer," "you"). By accessing or using AppreoDesk (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
AppreoDesk is software that helps appraisal coordination companies manage their appraiser relationships, including credential tracking, fee schedules, documents, onboarding, and appraiser communication. AppreoDesk is a tool for Customer's internal use — we do not place appraisal orders, select appraisers, or otherwise participate in the appraisal process itself.
2. Accounts
You are responsible for the accuracy of information entered into the Service and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account, including accounts of staff you invite. Notify us promptly of any unauthorized use.
3. Acceptable Use
You agree not to use the Service to:
- Send SMS messages to any individual who has not consented to receive them, or continue messaging someone after they have opted out.
- Upload or store information you do not have the right to store, including another person's Social Security Number or other sensitive government ID number.
- Attempt to access another Customer's data, or circumvent the Service's access controls.
- Use the Service for any unlawful purpose or in violation of any applicable appraisal industry regulation.
4. SMS Communications
The Service's texting feature is provided so Customer can communicate with appraisers who have affirmatively opted in. Customer is responsible for obtaining and documenting that consent before enabling SMS for an appraiser, and for honoring opt-out requests. Message and data rates may apply. AppreoDesk uses Twilio, Inc. to deliver text messages and is not responsible for delivery failures caused by carrier networks or recipient devices.
5. Customer Data
As between AppreoDesk and Customer, Customer owns all data it enters into the Service, including appraiser records, fee schedules, and documents ("Customer Data"). We use Customer Data only to provide the Service to Customer and as described in our Privacy Policy. Upon termination, Customer may request an export of Customer Data within 30 days; after that period we may delete it.
6. Fees and Payment
Fees for the Service are as agreed between AppreoDesk and Customer separately (for example, in an order form or by email). Fees are due as invoiced and are non-refundable except as required by law or as we otherwise agree in writing. We may suspend access for accounts with amounts significantly past due, after notice.
7. Term and Termination
These Terms remain in effect for as long as you use the Service. Either party may terminate at any time; Customer remains responsible for fees incurred before termination. We may suspend or terminate access immediately if you materially breach these Terms, including the Acceptable Use section above.
8. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. AppreoDesk does not verify the accuracy of appraiser-submitted information (such as license status or fee schedules) and is not responsible for decisions Customer makes based on it.
9. Limitation of Liability
To the maximum extent permitted by law, AppreoDesk will not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from use of the Service. AppreoDesk's total liability for any claim relating to the Service will not exceed the fees Customer paid to AppreoDesk in the three months preceding the claim.
10. Indemnification
Customer agrees to indemnify and hold AppreoDesk harmless from any claim arising from Customer's misuse of the Service, violation of these Terms, or violation of applicable law — including claims arising from SMS messages sent without proper consent.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Florida.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify Customers directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
